1. About this document
1.1 This document forms part of our Terms of Service when you sell (section 4.2). It gives you the information that the European Union Platform-to-Business Regulation (Regulation (EU) 2019/1150) requires an online marketplace to give its business users. We give the same information, and apply the same rules, to every seller, wherever you are established and whether you sell as a business or as a private individual.
1.2 Tokyofishmarket is operated by Manda SENC, 418, avenue des Pins Ouest, bureau 40, Montréal (Québec) H2W 1S2, Canada. "We" means Manda SENC. "You" means the seller.
1.3 This document adds to the Terms of Service and to the Seller Terms. It does not replace any clause of the Terms of Service. Where it conflicts with them, the Terms of Service prevail, as their section 4.3 says. Fees are set out only in Payments & Payouts.
2. How listings are ranked in search
2.1 When a buyer searches, we show listings that match the words of the search, including matches on the characters, series and other catalogue entries linked to a listing, and listings with a similar meaning.
2.2 The buyer chooses the order of results: newest first, which is the default, price from low to high or high to low, or release date.
2.3 Where our relevance model is switched on, results are re-ordered by predicted relevance. The model uses only these signals: how closely the text matches the search, how close the listing's meaning is to the search, a score combining the two, how many catalogue entries are linked to the listing, the score of a second relevance check on the pair of search and listing, whether the item is in stock, how recently the item was released, and how many tags the listing carries. The model learns how much each signal counts from how buyers use search results, which is why their relative weight can change when the model is retrained.
3. How listings are ranked in recommendations and feeds
3.1 Recommendations on the home page, on listing pages and in feeds are ordered by a score built from the following parameters:
- Interest match: how well the listing matches characters, artists, series, tags, licensors, shops and sellers the viewer has shown interest in.
- Similar buyers: what people with similar activity liked, saved or bought.
- Popularity: recent views, likes, wishlist saves and purchases of the listing, and whether it is trending.
- Freshness: how recently the listing was published.
- Listing quality and completeness: the quality of the photos and the description, and how completely the listing is filled in.
- Seller reputation: your trust tier, your reputation score, your average rating weighted by the number of reviews, and, for commissions, your track record and open slots.
- Availability: whether the item is in stock. A listing that is out of stock is ranked lower.
3.2 The relative weight of these parameters depends on how much we know about the viewer. For a visitor we know nothing about, popularity, freshness, listing completeness and seller reputation count most, because there is no interest to match. For a viewer with a history on the platform, interest match and similar buyers count most, because they predict better what that viewer is looking for.
3.3 After scoring, we avoid showing many listings from the same seller, manufacturer or category in a row, so that a feed is not dominated by one shop. Listings that our risk checks flag, for example as possible fraud, are ranked lower or not shown.
4. What does not affect ranking
4.1 No seller can pay to be ranked higher. Your seller plan and your seller type are not ranking parameters, in search or in recommendations.
4.2 Paid advertising is not shown on the platform. If we introduce it, every advertised listing will be labelled as such, and we will update this document under section 9 before it starts.
5. Trust tiers
5.1 Every seller account has one of four trust tiers: newcomer, regular, trusted or verified. We recalculate it daily from your activity on the platform: orders and how you handle them, incidents attributed to you, your listings, commissions, group buys, digital deliveries, memberships and buyer feedback. A tier is reached when both your score and the amount of evidence behind it pass that tier's threshold. We do not publish the thresholds, so that they cannot be gamed.
5.2 Your tier affects your seller reputation in ranking (section 3) and whether your listings are published without prior review (Seller Terms, section 4.8). It does not change the fees you pay and does not grant or remove any security permission.
6. How TFM Official is treated compared with you
6.1 We sell some items ourselves. Those listings carry the label "TFM Official", and for them we are the seller (Terms of Service, section 7.2). TFM Official competes with you on the platform, so we tell you here every way in which it is treated differently.
- Ranking. TFM Official listings are ranked with the same parameters as yours. Being TFM Official is not a ranking parameter.
- Fees. TFM Official pays none of the fees in Payments & Payouts. Those fees are what we charge for selling on our platform; on our own sales, the whole price is our revenue.
- Review before publication. A TFM Official listing is not held for review because it is a first listing. It is still reviewed when it is rated for adults, delivered as a digital file, or when its account is at the newcomer tier.
- Several units per listing. TFM Official may offer several units in one listing, as sellers who sell through an incorporated business may.
- Platform-wide coupons. Only TFM Official can issue coupons that apply across the whole platform. Such a coupon applies automatically at checkout to a listing from any seller, including yours, when it gives the buyer the best discount available.
7. Data
7.1 You have access to the data about your own booth through your seller workspace, including your listings, your orders and your messages with buyers. You can export your inventory. The fees on each sale are recorded separately, as Payments & Payouts describes.
7.2 For each order, you receive the buyer information needed to fulfil it, such as their name and shipping address. You may use it only for that order (Seller Terms, section 6.4). You do not have access to data about other sellers or to other buyers' personal information.
7.3 We have access to all data generated on the platform, including yours, and we use it to run the platform, to rank listings, to detect fraud, and to meet our legal obligations, as Privacy & Data Usage describes. We do not sell personal data.
7.4 We share data about you with third parties only as Privacy & Data Usage and Platform Tax Reporting describe, for example with Stripe to process payments, or with tax authorities where the law requires it.
8. Restricting, suspending or ending your selling
8.1 We may restrict your listings, hold your payouts, suspend your ability to sell, or close your seller account on the grounds in section 14.1 of the Terms of Service. The measures and when each applies are set out in the Seller Terms, section 10.
8.2 When we restrict or suspend your selling, we send you a statement of reasons at the latest when the measure takes effect. It sets out what we did, the facts we relied on, whether a person or an automated process was involved, the rule or law concerned, and how to contest it, as Reporting Illegal Content and Appealing Our Decisions describes. We do not send it where the law forbids us to.
8.3 If you sell as a business, we give you at least 30 days' notice, with a statement of reasons, before we end our relationship with you. We may end it sooner only where the law requires us to act sooner or where you have repeatedly broken the Terms of Service (section 14.6). In those cases, we still send you the statement of reasons without delay.
8.4 You may contest any of these decisions free of charge, for at least six months after we tell you about it (Terms of Service, section 14.3). You can use the process in section 10 of this document to clarify the facts, and if we were wrong, we reverse the decision.
9. Changes to our terms
9.1 We give you at least 30 days' notice, by email and on the platform, before a change to the Terms of Service or to any document they include takes effect, including this document, the Seller Terms and our fees (Terms of Service, section 19.3). The notice sets out the new clause, the clause it replaces, and the date it takes effect.
9.2 If a change adds to your obligations or reduces ours, you may refuse it and close your seller account at no cost, before the change takes effect or within 30 days after it does.
9.3 A change required by law, or needed urgently to deal with fraud, malware or a security threat, may take effect sooner. We still tell you about it as soon as we can, and your right to close your account under 9.2 still applies (Terms of Service, section 19.4).
9.4 Where a change requires you to make significant changes to your listings or to how you work, we give you more than 30 days' notice.
9.5 A change never applies to an order already placed (Terms of Service, section 19.2).
10. Complaints
10.1 You may complain about any decision we took about you, about a delay or a problem with a payout, about how we applied these terms, or about a technical problem that affects your selling. Write to legal@tokyofishmarket.com. Complaints are free.
10.2 Tell us which decision or problem you are complaining about, and give us the facts and any evidence you want us to consider. A person reviews your complaint, and we answer in writing with our decision and our reasons.
10.3 Using our complaint process does not stop you from going to court (Terms of Service, section 18).
11. Selling elsewhere
You may offer the same items through other channels, including your own shop, at any price and on any conditions. We do not require you to offer your lowest price here. What we forbid is moving a sale found on Tokyofishmarket off the platform (Seller Terms, section 9).
