1. About this document
1.1 This document forms part of our Terms of Service (section 4.2). It is the only place where our fees are set out. The Seller Terms and the Seller Transparency Terms refer to it and do not repeat any fee.
1.2 Tokyofishmarket is operated by Manda SENC, 418, avenue des Pins Ouest, bureau 40, Montréal (Québec) H2W 1S2, Canada. In this document, "we" means Manda SENC and "you" means the seller, unless a clause says it is about buyers.
1.3 Nothing in this document limits the rights the law gives a buyer as a consumer, as section 9.2 of the Terms of Service says.
2. Who handles the money
2.1 Payments are processed by Stripe through our payment service at secure.tokyofishmarket.com. Buyers enter their card details there, and those details go to Stripe. The main Tokyofishmarket site never receives them, and we do not store full card numbers.
2.2 To sell, you must hold a Stripe connected account, which you open through our seller onboarding and by accepting Stripe's own terms for that account. Stripe verifies your identity and your bank account as part of that process. You cannot receive payouts until Stripe has enabled payouts on your account.
2.3 We do not hold your money in escrow. Depending on how the buyer paid, your proceeds move in one of two ways:
- Single-item order. The payment is made as a Stripe destination charge. When the payment is captured, the amount paid, less our fees, goes to your Stripe balance. Payouts from that balance to your bank are set to manual: they happen when we instruct Stripe to make them, under section 6.
- Cart checkout. When a buyer pays for several items in one checkout, the payment is made to our Stripe account. We transfer your share, less our fees, to your Stripe account when the sale is released under section 6, and a payout to your bank follows.
2.4 If your Stripe account is established outside Canada, the United States, the United Kingdom, Switzerland and the European Economic Area, a single-item order is charged on behalf of your Stripe account, which makes your account the settlement merchant for that payment.
3. How a buyer pays for an order
3.1 The buyer pays at checkout. The amount shown at checkout is the amount charged, as section 8.1 of the Terms of Service says. Buyers pay no marketplace fee on an order.
3.2 For an ordinary order or a cart checkout, the buyer's payment is authorised at checkout but not yet taken. It is captured when you confirm the order. A preorder is charged at the time of purchase.
3.3 You have 72 hours after the order is placed to confirm it. If you do not, the order is cancelled automatically, the authorisation is released or the buyer is refunded in full, and no fee is charged to you.
3.4 Shipping is charged to the buyer at checkout, at the rate in your shipping profile for the buyer's delivery address, and shown as its own line before the buyer confirms (Shipping & Delivery, section 3). Our marketplace fee applies to shipping as well as to the item price (4.1).
3.5 Sales taxes, such as sales tax, VAT, GST, HST or QST, are calculated and collected at checkout through our payment provider's tax service, where we are registered or required to collect them. We register in a place when its threshold is reached. The tax is shown to the buyer before they confirm. Any other tax obligation remains yours. What we report about you is set out in Platform Tax Reporting.
4. Fees on marketplace sales
4.1 On each sale, you pay three kinds of fee. We deduct them from the payment before your share reaches your Stripe balance. Each fee is recorded separately for each sale.
- Marketplace fee: 5% of the item price and the shipping charged to the buyer. The rate is attached to your seller plan. Every plan we currently offer carries 5%.
- Processing fee: a percentage plus a fixed amount. It covers the cost of card processing. It is calculated from the schedule in 4.2 and 4.3, not from the actual cost of each transaction.
- Currency conversion fee: 2.5%. It applies only when your payout currency differs from the currency of your listing. See section 7.
4.2 The percentage part of the processing fee depends on the country of your Stripe account and on where the buyer is. A buyer is "domestic" when they are in the same country as your account. If your account is in Canada, buyers in Canada and in the United States are both domestic. If we do not know the buyer's country, the domestic rate applies.
- Canada: 3.0% for domestic buyers, 4.0% for others.
- United States: 3.0% for all buyers.
- Japan and South Korea: 3.6% for all buyers.
- Australia and New Zealand: 3.0% for domestic buyers, 4.0% for others.
- Member states of the European Union, the United Kingdom, Switzerland and Norway: 4.0% for all buyers.
- Hong Kong and Singapore: 4.4%.
- Indonesia, Israel, Malaysia, Mexico, Morocco, the Philippines, South Africa and Vietnam: 4.5%.
- India: 5.0%.
- Thailand and Ukraine: 6.0%.
- Argentina, Brazil, Chile, China, Egypt, Georgia, Kazakhstan, Pakistan, Peru, Serbia, Turkey and the United Arab Emirates: 6.5%.
4.3 The fixed part of the processing fee depends on the currency of the listing: CAD 0.30, USD 0.30, EUR 0.30, GBP 0.20, JPY 45, CHF 0.50, SGD 0.35, DKK 2.50, NOK 2.50, SEK 3.00, CZK 6.50, HUF 85.00, PLN 1.00, RON 1.00, THB 10.00. When one checkout covers items from several sellers, the fixed amount is charged once and shared between the sellers in proportion to each seller's part of the payment.
4.4 The processing fee and the currency conversion fee are calculated on the amount the buyer paid in money. Any part the buyer paid with store credit is not included.
4.5 If your listing is a derivative work sold under a royalty or licence agreement you accepted on the platform, the agreed share of each sale is deducted from your proceeds and paid to the original creator or the rights holder. The share is set by that agreement, not by this document.
4.6 Listing is free. We charge no fee to publish, renew or remove a listing.
4.7 We may from time to time offer a platform-wide coupon that applies automatically at checkout to a listing from any seller, as the Seller Transparency Terms describe. Only TFM Official issues these coupons.
5. Other fees
5.1 Tips. When someone tips you, they pay the tip plus a platform fee of 5% of the tip and the processing cost, so you receive the full tip. We charge you nothing on a tip. A tip must be between 1.00 and 500.00 in CAD or USD, or between JPY 100 and JPY 50,000. A tip can only be refunded in full, and a refund returns our fee to the person who tipped.
5.2 Fan memberships. If you offer paid memberships to your fans, each renewal is charged to the member through Stripe and transferred to your Stripe account, less our membership fee of 5% of the renewal.
5.3 Paid content unlocks. Paid unlocks of posts, images or videos are not offered on the platform. If we offer them, we will announce the fee under section 10.
5.4 Seller plans. Your seller plan is Booth, Booth Pro, Partners, or Partners Pro, which is offered by contract and on application. Booth, Booth Pro and Partners are billed monthly. The price of each plan is shown before you subscribe.
6. When you get paid
6.1 A sale is released for payout 48 hours after delivery is recorded, if no claim or payment dispute is open on the order at that time. Delivery is recorded from the carrier's tracking or by us. We check for released sales every 5 minutes.
6.2 After release, we group your released sales by currency and instruct a payout. A payout is made only when all of the following are true:
- your seller account is active;
- your payouts are not held under section 8;
- Stripe has enabled payouts on your account;
- the amount, after any amount withheld under 9.4, reaches the minimum for its currency.
6.3 Minimum payout amounts are: CAD 1.00, USD 1.00, EUR 1.00, GBP 1.00, SGD 1.00, CHF 1.50, PLN 3.00, RON 3.00, DKK 8.00, NOK 8.00, SEK 10.00, CZK 20.00, THB 30.00, JPY 100 and KRW 100. Below the minimum, the amount stays in your balance and is added to your next payout.
6.4 If a payout fails, for example because your bank rejects it, we try it again. Keep your bank details up to date in your Stripe account.
7. Currencies
7.1 Your listings are priced in the currency of your booth. The buyer pays in that currency.
7.2 Your payout currency is set by the country of the bank account attached to your Stripe account. When it differs from the currency of the sale, Stripe converts the amount at its exchange rate at the time of conversion, and we charge the currency conversion fee in 4.1.
8. Reserves and held payouts
8.1 Reserve. We can keep a percentage of each released sale in reserve for a number of days, for sellers whose account is younger than a set age. No reserve currently applies: the percentage, the number of days and the account age are all set to zero. If we introduce a reserve, we give you notice under section 10 first. We may also place a reserve on your payouts as a sanction under section 10.7 of the Seller Terms.
8.2 Held payouts. We stop your payouts in the following cases:
- a sanction under the Seller Terms that suspends your payments;
- a hold placed by our staff while we investigate suspected fraud or a serious breach;
- a failed attempt to recover money from your Stripe account, for example after a refund or a chargeback;
- your seller account is suspended or closed.
8.3 While payouts are held, your balance stays in your Stripe account or, for cart checkouts, with us, and it keeps being used to refund buyers and to settle chargebacks. We tell you why payouts are held, as Reporting Illegal Content and Appealing Our Decisions describes. We release the hold when its reason ends, for example when your appeal succeeds. We do not keep a held amount as a penalty.
8.4 You can contest a hold free of charge, for at least six months after we tell you about it, by writing to legal@tokyofishmarket.com, as section 14.3 of the Terms of Service describes. The Seller Terms describe the appeal you can also file from your seller workspace.
9. Refunds, chargebacks and amounts you owe
9.1 Before capture. If an order is cancelled before you confirm it, the buyer's authorisation is released. Nothing is charged, and you pay no fee.
9.2 After capture. When an order is refunded, the refunded amount is taken back from your Stripe balance. Our fees are not returned, whatever the reason for the refund, except the fee on a tip, which is returned because a tip can only be refunded in full (5.1).
9.3 How the buyer is refunded. A refund for an item not received, an item not as described, a dispute decided for the buyer, or a fault of ours goes back to the buyer's original payment method. When an order is cancelled, the buyer may choose between their original payment method and store credit for 7 days; if they do not choose, the refund goes to their original payment method (Terms of Service, section 8.3). A price adjustment, a shipping adjustment or a goodwill credit is always issued as store credit. A part of an order the buyer paid with store credit is refunded as store credit. None of this limits the buyer's rights under the Returns & Refunds policy or the law.
9.4 Chargebacks. If a buyer disputes a payment for your sale with their bank, we recover the disputed amount from your Stripe account. If the dispute is decided in your favour, we return it to you. Our fees on the sale are not returned. If you lose, you also pay the card network's dispute fee, which we deduct from your later payouts under 9.5. We pay it on TFM Official sales. To contest a dispute, send your evidence, such as proof of delivery or tracking, to support@tokyofishmarket.com with the order number, and we submit it (Seller Terms, section 8.5).
9.5 Amounts you owe. If you owe us money, for example because a refund or a chargeback came after your payout, we deduct it from your next payouts in the same currency before paying you the rest.
9.6 Buyers. Buyer payment disputes are covered by section 14.8 of the Terms of Service.
9.7 If buyers dispute an unusual share of your payments with their bank, we review your account under section 10.7 of the Seller Terms, whatever the outcome of each dispute.
10. Changes to fees and to this document
10.1 We may change our fees and this document under section 19 of the Terms of Service. We give you at least 30 days' notice by email and on the platform, except for the urgent cases in section 19.4. You may refuse the change and close your seller account without cost before it takes effect or within 30 days after.
10.2 A fee change never applies to an order already placed.
